1. Agreement to Terms

Welcome to PK Nexus. By accessing or using our platform, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use the service.

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of PK Nexus after changes are posted constitutes your acceptance of the revised Terms.

2. Description of Service

PK Nexus is a platform that enables game developers and publishers to create, manage, and share digital press kits. Our services include:

• Press kit creation and management tools
• Media asset hosting and distribution
• Developer profiles and portfolio showcases
• Social features including following, feeds, and posts
• Analytics and engagement tracking
• Team collaboration features
• Demo mode for viewing sample content

We reserve the right to modify, suspend, or discontinue any aspect of the service at any time, with or without notice.

3. Account Registration and Eligibility

3.1 Eligibility

You must be at least 13 years of age (or the age of consent in your jurisdiction) to use PK Nexus. By creating an account, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

3.2 Account Creation

To access certain features, you must register for an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Notify us immediately of any unauthorized use of your account
• Accept responsibility for all activities under your account

3.3 Account Types

PK Nexus offers the following account types:

• Developer Accounts: For game developers and publishers to create press kits. Requires a paid subscription (with a 7-day free trial). Includes press kit creation, team collaboration, analytics, and advanced features.
• Creator Accounts: Free accounts for content creators to discover and share game press kits. No payment required.
• Media Accounts: Free accounts for journalists and media professionals to access press materials. No payment required.
• Gamer Accounts: Free accounts for gamers to follow developers and discover games. No payment required.

Features and limitations vary by account type. You are responsible for selecting the appropriate account type for your needs.

4. Acceptable Use Policy

4.1 Permitted Use

You may use PK Nexus only for lawful purposes and in accordance with these Terms. You agree not to:

• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others
• Upload viruses, malware, or malicious code
• Engage in unauthorized access, hacking, or security breaches
• Spam, harass, abuse, or harm other users
• Create fake accounts or impersonate others
• Scrape, data mine, or use automated tools without permission
• Circumvent usage limits or access restrictions
• Interfere with the proper functioning of the platform
• Use the service for commercial purposes outside its intended scope

4.2 Prohibited Content

You may not post, upload, or share content that:

• Is illegal, harmful, threatening, abusive, or defamatory
• Infringes copyright, trademark, or other intellectual property rights
• Contains nudity, pornography, or sexually explicit material
• Is for games rated Adults Only (AO), regardless of the reason for the rating
• Promotes or links to prohibited content, including external store pages, websites, or materials that would violate these guidelines
• Poses risk to PK Nexus's ability to operate, including but not limited to our payment processors, hosting providers, or platform reputation
• Promotes violence, discrimination, or hatred
• Contains personal information of others without consent
• Is fraudulent, deceptive, or misleading
• Violates any third-party rights

Violations may result in immediate removal of content, account suspension, or termination without refund. We reserve the right to enforce these guidelines at our sole discretion.

5. User Content and Intellectual Property

5.1 Your Content

You retain all ownership rights to content you submit, post, or display on PK Nexus ("User Content"). By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free, transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the service.

5.2 Responsibility for Content

You are solely responsible for your User Content and the consequences of posting it. You represent and warrant that:

• You own or have the necessary rights to your User Content
• Your User Content does not violate these Terms
• Your User Content does not infringe any third-party rights
• Your User Content complies with all applicable laws

5.3 PK Nexus Intellectual Property

The PK Nexus platform, including its design, features, functionality, and all content not provided by users, is owned by PK Nexus and protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, or create derivative works without our express written permission.

5.4 Content Removal

We reserve the right to remove or disable access to any User Content that violates these Terms, infringes rights, or is otherwise objectionable, at our sole discretion and without notice.

5.5 File Management

When you upload files (such as images, videos, or documents), they are stored on our servers. If you replace an uploaded file (e.g., updating a logo or screenshot), we automatically delete the previous version to optimize storage and protect your privacy. Deleted files cannot be recovered. You are responsible for maintaining backup copies of any content you wish to preserve.

6. Subscriptions and Payments

6.1 Paid Subscriptions

Developer accounts require a paid subscription to create and manage press kits. Creator, Media, and Gamer accounts are free and do not require payment. By subscribing to a Developer account, you agree to pay all applicable fees as described at the time of purchase. Fees are billed in advance on an annual recurring basis and are non-refundable except as required by law.

6.2 Billing and Renewal

Subscriptions automatically renew at the end of each billing period unless you cancel before the renewal date. You authorize us to charge your payment method for recurring fees. We may change subscription prices with 30 days' notice.

6.3 Free Trials

Developer accounts include a 7-day free trial with full access to all features. If you do not cancel before the trial ends, you will be automatically charged for a subscription at the selected tier. Trial periods are limited to one per user. Creator, Media, and Gamer accounts are free and do not require trials or subscriptions.

6.4 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of your current billing period. You will retain access to paid features until that time.

6.5 Refunds

All fees are non-refundable except as required by applicable law or as explicitly stated in a promotional offer.

7. Termination and Suspension

7.1 Termination by You

You may terminate your account at any time by contacting us or using the account deletion feature. Upon termination, your data will be deleted in accordance with our Privacy Policy.

7.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including:

• Violation of these Terms or our Content Guidelines
• Fraudulent or illegal activity
• Abusive or harmful behavior
• Non-payment of fees
• Prolonged inactivity
• At our discretion to protect the service or other users

Content policy violations may result in immediate content removal, suspension, or termination without refund. See our Content Guidelines for details.

7.3 Effect of Termination

Upon termination, your right to use PK Nexus will immediately cease. We may delete your account and User Content, though publicly shared content may remain accessible to others. Provisions that by their nature should survive termination will continue to apply.

8. Privacy and Data Protection

Your use of PK Nexus is also governed by our Privacy Policy , which explains how we collect, use, and protect your personal information. By using PK Nexus, you consent to our data practices as described in the Privacy Policy.

9. Disclaimers and Limitations of Liability

9.1 Service Provided "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PKNEXUS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR $100, WHICHEVER IS GREATER.

9.3 No Liability for User Content

We are not responsible for User Content posted by you or other users. We do not endorse, support, or guarantee the accuracy, completeness, or reliability of any User Content.

10. Indemnification

You agree to indemnify, defend, and hold harmless PK Nexus and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use or misuse of the service
• Your violation of these Terms
• Your User Content
• Your violation of any third-party rights
• Your violation of applicable laws

11. Copyright and DMCA

11.1 Copyright Policy

We respect intellectual property rights and expect users to do the same. We respond to valid copyright infringement notices in accordance with the Digital Millennium Copyright Act (DMCA).

11.2 Filing a DMCA Notice

If you believe your copyrighted work has been infringed, please provide our designated agent with:

• A physical or electronic signature of the copyright owner
• Identification of the copyrighted work claimed to be infringed
• Identification of the infringing material and its location
• Your contact information
• A statement of good faith belief that the use is unauthorized
• A statement that the information is accurate and you are authorized to act

11.3 Repeat Infringers

We will terminate accounts of users who are repeat copyright infringers.

12. Dispute Resolution and Governing Law

12.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions.

12.2 Arbitration

Any dispute arising from these Terms or the service shall be resolved through binding arbitration, except that either party may seek injunctive relief in court. Arbitration will be conducted by a single arbitrator under the rules of the American Arbitration Association.

12.3 Class Action Waiver

You agree to resolve disputes individually and waive your right to participate in class actions or class-wide arbitration.

12.4 Exceptions

Nothing in these Terms shall prevent either party from seeking equitable relief in court for intellectual property infringement or misuse of confidential information.

13. Third-Party Services

PK Nexus may integrate with or link to third-party services, websites, or applications. This includes security and anti-abuse tools (such as reCAPTCHA and form protection), error and performance monitoring, and advertising measurement on certain landing pages. We are not responsible for the content, privacy practices, or terms of service of third parties. Your use of third-party services is at your own risk.

14. Export Controls

You agree to comply with all applicable export and import control laws and regulations. You may not use PK Nexus in violation of any export restrictions or embargoes.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PK Nexus regarding the service.

15.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

15.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

15.4 Assignment

You may not assign or transfer these Terms without our prior written consent. We may assign these Terms at any time without notice.

15.5 No Agency

Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between you and PK Nexus.

15.6 Force Majeure

We shall not be liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.
